This dominance reflects software’s evolution from business tool to critical infrastructure, as private equity firms execute aggressive buy-and-build strategies in fragmented vertical markets while tech giants pursue transformative mega-deals. With transaction volume up 17% and AI integration becoming a deal prerequisite, the software sector’s M&A leadership signals a fundamental shift in how businesses acquire the digital capabilities essential for competitive survival.

The software M&A landscape in 2025 is defined by four key trends:

1. Mid-Market Momentum Fueled by Private Equity

After a two-year slowdown, software deal volume rebounded by 17% in 2024, driven primarily by private equity firms executing buy-and-build plays in niche verticals (GLC Advisors, 2025; Silverpeak LLP, 2025). Financial sponsors acquired core platforms under $1 billion, then added complementary solutions to assemble end-to-end suites, creating scalable, cross-sell opportunities.

2. Valuation Stabilization and Premium SaaS Pricing
